Terms of Service

Welcome to Studentix. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Studentix Ltd. ("Studentix", "we", "our"). By accessing our application, website, or services, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree to these Terms, do not use the Service.

**2.1 Age Requirements:** You must be at least 13 years old to use Studentix. Users under 18 require parental or guardian consent. **2.2 Account Creation:** • You must provide accurate and up-to-date information • You are responsible for maintaining the confidentiality of login credentials • You are responsible for all activity under your account • You must notify us immediately of any unauthorized use **2.3 One Account Per User:** One account is intended for one individual user. Account sharing is prohibited.

**3.1 Acceptable Use:** • Recording lectures for personal study purposes • Creating transcripts and summaries for personal use • Using the AI tutor for exam preparation • Sharing content with study peers (per institutional policy) **3.2 Prohibited Use:** • Recording people without their knowledge when law requires consent • Copying, duplicating, or distributing the software or service • Reverse engineering, disassembling, or decompiling the application • Using the service for commercial purposes without authorization • Uploading illegal, offensive, or rights-infringing content • Attempting to compromise service security or access systems without permission • Using bots, automated scripts, or other automated tools • Providing false or misleading information during registration

**4.1 Legal Responsibility:** You are solely responsible for ensuring that recording lectures complies with the laws of your jurisdiction and your institution's policies. **4.2 Israeli Recording Laws:** In Israel, it is generally permitted to record conversations you are party to. However, check your university or college policy. **4.3 Privacy Protection:** Do not record private conversations of others without their consent. Studentix is not responsible for illegal use of the service.

**5.1 Subscription Plans:** • **Free Plan:** Limited access to basic features • **Pro Plan:** Full access to all features with monthly/annual payment • **Enterprise Plan:** Custom solutions for institutions **5.2 Billing:** • Billing occurs according to your selected subscription cycle • All prices include VAT as required by law • Payment is processed through Stripe, a secure payment provider • You authorize recurring charges until cancellation **5.3 Cancellation and Refunds:** • You may cancel your subscription anytime through account settings • Access will be maintained until the end of the current billing period • No pro-rated refunds for partial months • Free trial automatically cancels if not cancelled before period end **5.4 Price Changes:** We will notify you 30 days in advance of price changes. Continued use constitutes acceptance of the new price.

**6.1 Ownership of Studentix:** The application, website, logo, design, and all Studentix content are protected by copyright, trademarks, and other intellectual property rights. All rights reserved to Studentix Ltd. **6.2 Your Content:** • You retain ownership of your recordings, transcripts, and notes • You grant Studentix a limited license to process your content to provide the service • We will not use your content for any other purpose without your consent **6.3 AI-Generated Content:** Summaries, flashcards, and AI tutor responses are generated using artificial intelligence and belong to you for personal use.

**7.1 "AS IS" Basis:** Studentix is provided "as is" without express or implied warranty. We strive to provide quality service but do not guarantee: • Absolute accuracy of transcripts (depends on recording quality, background noise, etc.) • Uninterrupted availability (maintenance and updates may cause interruptions) • Suitability for any specific purpose **7.2 Limitation of Damages:** To the maximum extent permitted by law, Studentix will not be liable for indirect, incidental, special, or consequential damages, including: • Loss of data or recordings • Loss of grades or study opportunities • Financial losses • Reputational damage **7.3 Maximum Amount:** Our total liability, in any case, is limited to the amount you paid Studentix in the last 12 months. **7.4 Exceptions:** These limitations do not apply to damages resulting from gross negligence or intentional conduct.

You agree to indemnify and defend Studentix, its employees, directors, and partners from any claims, demands, damages, or expenses (including attorney fees) arising from: • Your use of the service • Violation of these Terms • Violation of third-party rights • Content you uploaded or created

**9.1 Termination by You:** You may close your account at any time through account settings. **9.2 Termination by Us:** We reserve the right to suspend or terminate your account if: • You violated these Terms • You used the service illegally or unfairly • You failed to pay for a paid subscription • You endangered service security or other users **9.3 Effect of Termination:** Upon account closure, your access will cease and your content may be deleted (30-day grace period for backup).

We reserve the right to update these Terms from time to time. In case of material changes: • We will notify you by email or notice in the application • You will have 14 days to review the changes • Continued use after the period constitutes acceptance of the new Terms • If you do not agree, you may close your account at no cost

**11.1 Israeli Law:** These Terms are governed by the laws of the State of Israel. **11.2 Jurisdiction:** Any dispute arising from this agreement will be heard exclusively in the competent courts of Tel Aviv, Israel. **11.3 GDPR (EU Users):** Users in the European Union have additional rights under GDPR. See our Privacy Policy for more information.

**12.1 Entire Agreement:** These Terms and the Privacy Policy constitute the entire agreement between you and Studentix. **12.2 Severability:** If any provision is found invalid, the remaining provisions will remain in effect. **12.3 No Waiver:** Failure to enforce a right does not constitute a waiver of it. **12.4 No Assignment:** You may not transfer your rights under this agreement. Studentix may transfer its rights to a third party.
